Item 7.01 Regulation FD Disclosure.

On May 13, 2026, Expensify, Inc., a Delaware corporation (the “Company”), announced the commencement of a modified “Dutch auction” tender offer to purchase shares of its Class A common stock for an aggregate purchase price of up to $25,000,000 at a price per share of not less than $0.98 and not more than $1.20 (the “Tender Offer”). The Tender Offer is not conditioned upon any minimum number of shares being tendered and is not subject to a financing condition. The Tender Offer is scheduled to expire at 12:00 midnight, New York City time, at the end of the day on June 10, 2026, unless extended or terminated. Documents with tendering instructions and a complete explanation of the Tender Offer’s terms and conditions have been filed with the Securities and Exchange Commission.
